Public Offer Agreement

By ordering goods on the website "kodi-professional.eu" the Buyer confirms that he/she has familiarized himself/herself with the Public Offer Agreement and provides his/her unconditional consent with the conditions of ordering, purchasing, selling and delivering goods specified in it. In case of disagreement with the specified conditions the Buyer should refrain from ordering and purchasing the goods presented on the website.

Public Offer Agreement

• General Provisions

1.1. This Public Offer Agreement between the owner of the goods, the online store of the goods presented on the website "kodi-professional.eu" (hereinafter - the "Seller") Zbarazska N. V. and the user of the website (hereinafter - the "Buyer") is a public (offer) agreement of purchase and sale and delivery of goods and determines the terms of ordering, purchasing, selling and delivering goods presented on the website "kodi-professional.eu" by remote method (hereinafter referred to as the "Agreement"). The agreement is public and, in accordance with Article 633 of the Civil Code of Ukraine, its conditions are the same for all buyers.

1.2. The Seller's public offer, addressed to an unspecified circle of Buyers, is to conclude an Agreement with the Seller for the purchase and sale of goods, presented on the website "kodi-professional.eu" by remote method, under the conditions defined below.

1.3. According to Article 642 of the Civil Code of Ukraine, the moment of full and unconditional acceptance of the terms of this public offer, which is confirmed by the conclusion of the Agreement on the terms proposed below, is the moment of execution and confirmation of the order by the Buyer.

1.4. The Buyer's order means the Buyer's decision to order the goods and its delivery, executed on the website "kodi-professional.eu" and / or an order for the purchase and delivery of goods presented on this website.

1.5. The Buyer who accepted the offer can withdraw it by notifying the Seller before or at the time of receiving the answer about accepting the offer.

1.6. By concluding the Agreement (that is, accepting the terms of the real offer (offered opportunities) by placing an order), the Buyer confirms the following:

- The Buyer is fully and completely acquainted with and agrees with the terms of this offer and the terms of this Agreement;

- The Buyer gives permission for the collection, processing and transfer of his/her personal data, for the purpose of implementing civil legal relations, using it for marketing and advertising purposes, making payments for the purchased goods. The permission for the processing of personal data is valid for the entire term of the Agreement, as well as for an unlimited period after its expiration. In addition, by concluding the Agreement, the Buyer confirms that he has been notified (without additional notification) of the rights established by the Law of Ukraine "On the Protection of Personal Data", the purposes of data collection, as well as the fact that his/her personal data is transferred to the Seller for the purpose of being able to fulfill the conditions of this Agreement, the possibility of mutual settlements, as well as to receive invoices, acts and other documents. The Buyer also agrees that the Seller has the right to provide access to and transfer his/her personal data to third parties without any additional notifications to the Buyer, without changing the purpose of personal data processing. The scope of rights of the Buyer, as a subject of personal data, in accordance with the Law of Ukraine "On the Protection of Personal Data" is known and understood by him/her.

• Subject of Agreement

2.1. The Seller, on the basis of the order completed by the Buyer (and confirmed by the Seller), undertakes to transfer to the Buyer the possession of the goods available at the Seller and presented on the website "kodi-professional.eu" (hereinafter - the "Goods"), and the Buyer undertakes to properly accept and pay for the Goods under the terms of this Agreement.

2.2. This Agreement regulates the purchase and sale of the Goods on the "kodi-professional.eu" website, in particular:

- voluntary choice by the Buyer of the Goods on the website;

- self-registration of the order by the Buyer on the website;

- payment by the Buyer of the order placed on the website;

- processing and delivery of the Goods to the Buyer under the terms of this Agreement

• Procedure for Placing an Order

3.1. The Goods are ordered by the Buyer through the service of the website kodi-professional.eu or by phone: 0 800 35 45 48; +38 050 148 20 90 (Show Room) ; +38 044 339 58 48.

3.2. When placing an order on the website, the Buyer undertakes to provide the following information: the name of the Buyer or the recipient (if it is different from the Buyer); the address to which the Goods should be delivered (if the Goods should be delivered to the Buyer's address) or the contacts of the relevant post office; email address; contact phone. The name, quantity, article number, and price of the Goods selected by the Buyer are indicated in the Buyer's cart on the website. If the Seller has the right to request additional information from the Buyer, if required. If the Buyer does not provide the necessary information, the Seller is not responsible for the sale of the Goods and/or the provision of quality service to the Buyer when purchasing goods on the website.

3.3. The Buyer is responsible for the accuracy of the information provided when placing the Order.

3.4. The Buyer has the right to place an order for any Goods available from the Seller and presented on the website.

3.5. Each item of the Goods can be ordered in any quantity.

3.6. The Buyer accepts the terms of this offer by entering the relevant data in the registration form on the "kodi-professional.eu" website when placing an order. The agreement between the Seller and the Buyer is considered concluded from the moment the order is placed electronically on the website "kodi-professional.eu" or when the Seller issues a check or other document to the Buyer confirming payment for the Goods, if the order was made by the Buyer over the phone.

3.7. If the Goods are not in stock, the Seller is obliged to inform the Buyer (by phone or e-mail).

3.8. If the Goods are not available, the Seller has the right to replace it with a product of a similar model, with the consent of the Buyer. The Buyer has the right to refuse the Goods that are analogous or similar to the ordered Goods, if the Seller has not notified the Buyer of the absence of the Goods ordered by the Buyer.

• Price of the Goods and Settlement Procedure

4.1. The price for each item of the Goods is indicated on the website "kodi-professional.eu".

4.2. The Seller has the right to unilaterally change the price of any item of the Goods.

4.3. In the event of a price change for the ordered Goods, the Seller undertakes to inform the Buyer about the change in the price of the Goods.

4.4. The Buyer has the right to confirm or cancel the order for the purchase of the Goods, if the price of the ordered Goods was changed by the Seller after the Order was placed.

4.5. The Seller cannot change the price of the Goods paid by the Buyer.

4.6. The Buyer's obligations to pay for the Goods are deemed fulfilled from the moment the Seller receives the funds for such Goods in full.

4.7. The Buyer pays for the order using: Liqpay Online payment service, cash on delivery (payment is made upon receipt of the Goods at the branch of the transport or postal company), payment by bank card or cash at the time of handing over the Goods to the Buyer.

4.8. If funds are not received by any of the above methods, the Seller reserves the right to cancel the order and not fulfill it.

4.9. Delivery of the order is carried out by the Seller or a transport or postal company at the expense of the Buyer. The Goods are sent by a transport or postal company to the address and data specified by the Buyer when placing the order. In the event that the Buyer is unable to receive the Goods before the storage deadline of the transport or postal company, the Goods may be returned to the Seller.

• Return of the Goods

5.1. The Goods of proper quality presented by the Seller on the website "kodi-professional.eu" are goods that, according to the Resolution of the Cabinet of Ministers of Ukraine dated 19.03.1994 No. 172, are included in the list of goods of proper quality that are not subject to exchange or return.

5.2. The Buyer's claims regarding the occurrence of an allergic reaction or manifestations of individual sensitivity to the Goods are not accepted by the Seller. Allergy testing is the responsibility of the Buyer. In the event of an allergic reaction or sensitivity reactions, the Buyer must immediately stop using the Goods.

5.3. The Goods of inadequate quality, as well as the Goods delivered but not ordered by the Buyer, may be returned by the Buyer to the Seller only if the following conditions are met:

- upon receipt of the Goods in the presence of the Seller's representative or a representative of the transport or postal company, the Buyer must check the quantity, completeness, packaging, appearance and condition of the Goods, its expiration date, and verify that the Goods comply with the Buyer's order;

- in the case of detection of the Goods of inadequate quality or the Goods that were not ordered by the Buyer, the Buyer is obliged to notify the Seller immediately (until the moment of acceptance of the Goods and the signing of the relevant receipts or invoices). The Buyer's claims regarding the improper quality of the Goods after the Buyer has accepted them and signed the corresponding receipts or invoices shall not be accepted, considered and satisfied by the Seller.

• Rights and Obligations of the Seller

6.1. The Seller has the right to: require the Buyer to fulfill the terms of this Agreement; unilaterally suspend the sale (delivery, transfer) of the Goods under this Agreement in the event of a breach by the Buyer of the terms of this Agreement.

6.2. The Buyer undertakes to: timely pay and receive the Goods under the terms of this Agreement and the order accepted by the Seller.

6.3. The Buyer has the right to: place an order for the Goods; require the Seller to fulfill the terms of this Agreement.

• Responsibility of the Parties

7.1. The Parties shall bear responsibility for non-fulfillment or improper fulfillment of the terms of this Agreement in the manner stipulated by this Agreement and the current legislation of Ukraine.

7.2. The Seller is not responsible for:

- changes in the Goods' appearance made by the manufacturer;

- slight difference of the Goods' color from the color of the Goods on the website due to different color rendering of personal computer monitors of different models;

- damage caused to the Buyer as a result of improper use of the Goods ordered on the website "kodi-professional.eu" and purchased from the Seller;

- content and veracity of the information provided by the Buyer when placing an order;

- improper, untimely fulfillment of orders and obligations in case of provision by the Buyer of unreliable, incomplete or erroneous information;

- delays and interruptions in the provision of services for the sale of the Goods (order processing and delivery of the Goods), which occur for reasons beyond the scope of the Seller's control;

- unlawful and illegal actions carried out by the Buyer using access to the Internet;

- transfer by the Buyer of his/her network identifiers - IP addresses, login and password to third parties.

7.3. In the event of force majeure, the Parties are released from fulfilling the terms of this Agreement. For the purposes of this Agreement force majeure circumstances mean events of an extraordinary, unforeseeable nature that exclude or objectively interfere with the performance of this Agreement, the occurrence of which could not be foreseen and prevented by the Parties in a reasonable way.

7.4. The Parties shall use their best efforts to resolve any differences and disputes between them through negotiations.

• Other Conditions

8.1. The Seller reserves the right to unilaterally make changes to this Agreement by publishing changes and new revisions on the "kodi-professional.eu" website.

8.2. The use of the website "kodi-professional.eu" for viewing the Goods posted on the website, as well as placing an order is free of charge for the Buyer.

• Term of Agreement

9.1. The Agreement is considered concluded from the moment the person who sent the proposal to enter into such an Agreement receives a response on the acceptance of this proposal in accordance with the procedure specified in Part Six of Article 11 of the Law of Ukraine "On Electronic Commerce".

9.2. The Agreement is valid until the Parties fulfill their obligations under the Agreement in full.

9.3. Before the expiration of this Agreement, this Agreement may be terminated by mutual consent of the Parties before the actual delivery of the Goods by means of a refund.

9.4. The Parties have the right to terminate this Agreement unilaterally, in the event of non-fulfillment of the terms of this Agreement by one of the Parties and in the cases stipulated by the current legislation of Ukraine.

User Agreement

By using the website "kodi-professional.eu" the visitor and the user of the website confirms that he/she has familiarized himself/herself and provides his/her unconditional consent with the User Agreement and the terms of personal data processing specified therein, as well as the Public Offer Agreement. In case of disagreement with the specified agreement the user should refrain from using the website's services.

"kodi-professional.eu" Website User Agreement

Every user and visitor of the "kodi-professional.eu" website, without exception, in compliance with the requirements of and in accordance with the Law of Ukraine "On the Protection of Personal Data", voluntarily and in his/her own interests, provides his/her indefinite and irrevocable consent to any methods of processing of his/her personal data, as well as any action (operation) or set of actions (operations) carried out with the use of automation tools or without the use of such tools with personal data, in particular, collection, recording, systematization, storage, clarification (updating, changing), use, transfer (distribution, provision, access), destruction of personal data of the user, in order to ensure the implementation of civil legal relations, use for marketing and advertising purposes, making payments for purchased goods and services for their delivery.

Within the framework of this Agreement, "personal data of the website user" means: the user's full name, year of birth and gender, e-mail address, telephone number, registered or actual place of residence and other personal information that the user provides about himself/herself when registering on the website, as well as data that is automatically transmitted by the user in the process of using the website with the help of software installed on the user's device, in particular, IP addresses, cookie data and other similar information about the user, the processing of which is provided for in the terms of use of individual website services.

The website does not control and is not responsible for the processing of information by third-party websites, which the user of the "kodi-professional.eu" website can visit following the links available on this website. The website administration has the right to provide access to and transfer (distribute) the user's personal data to third parties without any additional notice, without changing the purpose of their processing.

The relationship between the website user and the website, including the website's owners and administration, is regulated exclusively by the current legislation of Ukraine. The website is intended for people living in Ukraine. Users accessing the website from other locations do so on their own initiative and at their own risk, and are responsible for compliance with national Ukrainian legislation.

The user of the website is aware and agrees that he/she is personally responsible for publishing on the "kodi-professional.eu" website any messages and/or comments that are illegal, harmful, threatening, defamatory, contrary to moral norms, infringing copyrights, promoting hatred and/or discrimination of people on racial, sexual, religious, social grounds, contain insults directed at specific persons or organizations, as well as in any other way violate the current legislation of Ukraine. The user of the "kodi-professional.eu" website consents to the deletion of any user's message by the website administration without his/her consent, as well as the free use of the message by the website administration at its own discretion.

The user of the "kodi-professional.eu" website has the right to view and download materials from the website, exclusively, for personal non-commercial use, provided that all copyright information is preserved and observed, without the possibility of changing the materials, as well as their distribution or demonstration in any form or environment, or using them in any other way for public or commercial purposes.

The website administration has the right to change, suspend or close this website or any of its content, at any time and for any reason, without prior notice to the user. The website may become unavailable due to technical problems, malfunction of computer equipment or for other reasons.

The user guarantees that he/she knows and understands the scope of rights as a subject of personal data, the composition and content of collected personal data, his/her rights, defined by the Law of Ukraine "On the Protection of Personal Data", the purpose of collecting personal data and the persons to whom his/her are transferred.

The website, website services and its content are the property of the "kodi-professional.eu" website and are protected from unauthorized copying and distribution on the basis of the Law of Ukraine "On Copyright and Related Rights", the Law of Ukraine "On Protection of Rights to Marks for Goods and Services" and other intellectual property laws.

By registering on the website, the user automatically agrees that letters may be sent to his/her e-mail address or messages may be sent to the phone number specified during registration. The messages sent to the user may include the following content: information about new content, information about various promotions and discounts, advertising information of third parties, technical information about the use of the website, information about new services.

Terms of the Goods Return

According to the Law of Ukraine "On the Protection of Consumer Rights" No. 1023-XII dated 12.05.1991, perfumery and cosmetic products belong to the list of non-food products of proper quality that are not subject to return or exchange. The document provides the following wording: "The consumer has the right to exchange a non-food product of appropriate quality for a similar one from the seller from whom it was purchased, if the product does not satisfy them in terms of shape, dimensions, style, color, size or for other reasons cannot be used for its purpose".

According to the Resolution of the Cabinet of Ministers of Ukraine No. 172 dated 19.03.1994 "On the Implementation of Certain Provisions of the Law of Ukraine "On the Protection of Consumer Rights", the list includes, among other things, perfumery and cosmetic products, personal hygiene products, underwear and tools for manicure and pedicure.

What Goods can be returned

The customer must understand that exchange or return is possible only within 14 days in accordance with the procedure provided by the current legislation. We always try to meet the needs of our customers, so you have the right to return the goods if:

• such goods is not included in the list approved by Resolution of the Cabinet of Ministers of Ukraine No. 172 dated 19.03.1994;
• you received the goods of inadequate quality;
• the contents of the package do not correspond to what you ordered (damaged packaging, completeness, etc.);
• the goods has not been used and has no signs of use;
• the goods has a complete set and undamaged packaging;
• if it is the same goods that our store sold.

The procedure for exchanging or returning goods

If you received the goods of poor quality that you would like to exchange or return, you need to follow three simple steps:

1. Take a picture of the goods (defect, label and packaging).
2. Send us a photo to order@kodi-professional.eu with the note "Return" or "Exchange", specifying the order number.
3. Wait for a call from our manager to resolve the situation.

Refunds

Refunds are made by standard bank transfer to the account previously specified by the recipient. The return should be expected within an average of 3 working days after the return of the goods to the warehouse of the online store.

Useful Information

When receiving the goods, always carefully inspect the package in the presence of the courier or at the post office. If there are negative visual changes, you can refuse to receive the package.

It is forbidden to return goods that have been used or have damaged packaging.

If you received the package and picked it up from the post office, it means that you are completely satisfied with what you ordered.
